Innovation and R&D

Scaling up innovations from research and development projects requires care in order to secure inventions, sensitive information and possible protection via intellectual property rights. I can support you by putting contracts in place to secure the company’s interest, such as confidentiality, material transfer agreements, license and research agreements. Also, I can help by putting processes in place and introducing policies to create value and safeguard knowledge and know how (f.e. IPR policies and governance related to inventions and disclosures). Procurement, operations & project management

Having worked for manufacturing & utility companies, I have worked alongside operations and drafted various contracts for the construction of new plants or extension of manufacturing capacity and new production lines in the Netherlands and abroad. The procurement of materials, ingredients, equipment, goods and services is where I built up my experience, including arrangements around logistics, supply chain, ESG and CSDR compliance.

My extensive experience with cooperations, drafting and negotiating agreements in various jurisdictions in international settings, like Asia, EMEA and the USA, is what I bring with me. Embedding procedures and best practices by introducing policies and codes to reduce exposure is what I can help with.

M&A, restructuring & governance

When starting, scaling up or restructuring a company or cooperation I can assist to get clarity on the legal landscape. I can provide strategic legal advice about the corporate structure, strategic alliances and co-operations and draft and negotiate relevant contracts. For example, asset and share purchase agreements, joint venture agreements as well as governance and stakeholder management. Also, in the pre-contractual phase I can help with the screening of other businesses or activities in the due diligence phase by reviewing contracts, commitments and reporting on opportunities and risks, including labor law aspects and commitments. Having lead several mergers, demergers, acquisitions and sales projects I have experience with drafting, discussing and negotiating requests for advice from relevant organs within the organization (like Works Council and Supervisory Board) as well as external regulators (like ACM, VWA, FDA).
